Structure and Authority
Board Officers and Their Roles
The Board of Directors is the legislative and governing body of SGVDS, holding fiduciary responsibility for the
Society’s business, property, and finances. It provides overall supervision, control, and management of SGVDS operations.
Composition:
The Board consists of ten members:
Voting Members: President, Immediate Past President, Vice President, Secretary, Treasurer, and three Directors-at-Large (7 voting members).
Non-Voting Members: Executive Director and CDA Board of Component Representatives (BCR) Member.
Term Limits:
Board members serve two-year terms, with no more than three consecutive terms. Officers (except the Treasurer) serve one-year terms.
President

Serves as the chief officer and presiding chair of all member and Board meetings.

Appoints chairs of standing and special committees (subject to Board approval).

Chairs the Continuing Education (C.E.) Committee and oversees all C.E. meetings.

Serves a one-year term, preceded by service as Vice President and followed by a year as Immediate Past President.
Vice President

Acts on behalf of the President in their absence.

Serves on all Board and Society meetings during a one-year term.

Must have served at least one year on the Board before eligibility.

Assists in program and committee coordination, especially C.E. and membership efforts.
Secretary

Records attendance and verifies quorum at meetings.

Maintains official records and minutes of Board and Society proceedings.

May be assigned additional administrative duties by the Board.

Must have served at least one year on the Board.
Treasurer

Maintains full financial records and reports with assistance from the Executive Director.

Chairs the Finance Committee, prepares the annual budget, and oversees fiscal policy.

Presents financial reports at Board meetings and ensures sound management of reserves.

Serves a two-year term, renewable up to three consecutive terms.
Immediate Past President

Provides continuity and advisory support to the Board.

Chairs the Nominating Committee and, if needed, the SGVDS Delegation to the CDA House of Delegates when the CDA BCR member cannot serve.
Directors-at-Large (3 positions)

Serve two-year terms (up to three consecutive).

Support the President and Board in all matters of the Society, including attendance and active participation in Board meetings.

May also serve as Committee Chairs when appointed by the President.
CDA Board of Component Representatives (BCR) Member (non-voting)

Represents SGVDS at the California Dental Association.

Serves as a link between CDA and SGVDS, reporting significant matters to the Board.

Chairs the SGVDS Delegation to the CDA House of Delegates.
Executive Director (non-voting)

Appointed by the Board to manage daily operations and staff.

Works under the supervision of the Board and President.

Oversees finances with the Treasurer, coordinates committees, maintains insurance, and reports on activities at Board meetings.
